AGM – Postponed

The Annual General Meeting was initially planned to be held on 26 May 2020. However, due to the ongoing Covid-19 pandemic, we are postponing it to 22 September 2020.

The Swedish government passed a new law on 3 April 2020 that enabled new methods of voting at AGM’s. The new law was meant to facilitate the voting process, as well as to enable AGM’s to move online in order to accommodate most companies. However, although the law enabled new voting methods, it lacked clear structures as to how shareholders were to adequately communicate with each other as well as with the board. For this reason, we have made the decision to postpone the AGM to 22 September 2020. By doing so, we understand that we are not following the correct time frame regulation for AGM’s.  Consequently, the company might face a fee of 10.000 SEK due to the postponement, but we feel as though it is a necessary step to take, to ensure that the AGM is held in an accessible manner. We want to enable all of our shareholders to be able to interact with each other, ask the board and CEO questions, and to make sure that all shareholders have the opportunity to attend. If we would have opted for an online AGM, it would have decreases accessibility as it would have excluded those who do not own electronic devices or who do not have Wi-Fi.

Furthermore, we are cancelling all of the meetings which were due to be held in May. We will provide the essential information from these meetings via email instead. In order to keep all shareholders up to date we will update the website more frequently and send out more newsletters in the coming months. An example of this is an updated version of the Annual Report which will be emailed to all shareholders. We aim to do so by the beginning of June.

In the case that you have previously signed up as a participant to the AGM, there is no need to send a cancellation email. We will transfer all registered participants onto the new participation list. A notification will be sent out to all shareholder prior to 20 August. This will be an excellent opportunity to remind people of the info-meetings which are to be held on 7 September in Malmö, 14 September in Gothenburg, and 21 September in Stockholm. The Covid-19 pandemic has forced the company to make temporary changes in the way we operate our day to day business. Some of the changes that we have made are:

  • Working from home as far as possible
  • Social distancing at all times
